Agreement
These Terms of Service ("Terms") are a binding agreement between you and the organization you represent, if any ("you"), and Morphologic AI Inc., a British Columbia, Canada company ("we", "us"). They govern your use of Agentzia at agentzia.dev, its web application, MCP endpoint, analysis services, and reports (together, the "Service").
By submitting a page, creating an account, connecting an MCP client, buying credits, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
The Service
Agentzia is a decision diagnostic for landing pages. It gives ordinary product-research tasks to a panel of third-party AI models, records available research and navigation evidence, runs a separate public-page visibility and inventory track, and uses an observer model to produce a structured report.
Agentzia does not promise that a model, search index, customer, or other person will discover, understand, select, or recommend your product. Models, provider behavior, indexes, public pages, and research results change over time. A report is a time-bound observation, not a certification, benchmark guarantee, or prediction of commercial performance.
Eligibility and region
- Region. The Service is offered only in the United States and Canada, excluding the Province of Quebec. You represent that you access it from and reside in an offered region.
- Capacity. You must be the age of majority in your province or state and able to form a binding contract.
- Organizations. If you use the Service for an organization, you represent that you are authorized to bind it, and "you" includes that organization.
- Accurate information. You must provide accurate account and billing information and keep it current.
Your account and agents
- Account security. You are responsible for your email account, browser sessions, OAuth approvals, MCP clients, manual tokens, and all activity under your Agentzia account. Revoke or rotate access if a credential or client may be compromised.
- Agents act for you. When you authorize a coding agent or MCP client, you authorize it to read your credit balance, start analyses, read reports, retry eligible runs, and request checkout links on your behalf.
- Payment remains human-controlled. An agent can request a Stripe checkout URL but cannot provide card details to Agentzia or complete payment through MCP. You decide whether to open the browser checkout and buy credits.
- Output is untrusted information. Model output, cited pages, and report recommendations can be wrong, incomplete, stale, or misleading. You are responsible for reviewing the evidence and deciding whether to act.
The Service does not provide legal, financial, security, accessibility, compliance, or other professional advice. Do not use a report as the sole basis for a high-impact or irreversible decision.
Third-party models and research
Agentzia relies on third-party model, search, crawling, hosting, authentication, database, and payment services. Depending on the configured provider path, submitted inputs and related context may be processed by OpenRouter, OpenAI, Google, Anthropic, Firecrawl, and the infrastructure providers identified in our Privacy Policy.
We do not control third-party availability, search indexes, model outputs, or provider terms. We may change the model roster, providers, scenarios, or methodology as the Service develops. The methodology record in a completed report describes the configuration and limitations used for that run.
Acceptable use
Your use is subject to our Acceptable Use Policy, incorporated into these Terms. Among other restrictions, you may not submit content you have no right to use, attempt unauthorized access, use prompt injection to manipulate the analysis system, abuse external sites through research tools, evade credits or limits, or use the Service for illegal or harmful activity.
We may investigate suspected violations and throttle, suspend, or terminate access when reasonably necessary to protect users, providers, third parties, or the Service.
Your content and reports
- Your content. As between you and us, you retain your rights in URLs, page content, competitor information, and other material you submit ("Your Content").
- Permission to process. You grant us a worldwide, non-exclusive, royalty-free license to host, copy, transmit, crawl, display, and process Your Content solely to provide, secure, maintain, and improve the Service, including through the providers described in the Privacy Policy.
- Your authority. You represent that you have the rights and permissions needed to submit Your Content and direct the requested analysis, and that doing so does not violate law, these Terms, the AUP, website restrictions applicable to you, or third-party rights.
- Report use. Subject to these Terms and third-party rights, you may use and adapt your completed report for your own business purposes. AI-generated material may not be unique, and similar output may be generated for others.
- Deletion. The processing license ends when Your Content is deleted, except for backups, provider retention, legal obligations, security records, and other limited survival described in the Privacy Policy.
Credits, billing, and refunds
- Free analysis. Eligible accounts receive one promotional analysis credit. We may limit, change, or end the promotion prospectively and may deny duplicate or abusive claims.
- Subscriptions. Pro and Ultra are monthly subscriptions that renew automatically until canceled. Each paid billing period adds the included analysis allowance shown at checkout. Unused included credits reset at the next billing period and do not roll over.
- Additional credits. Active subscribers may buy one-time top-ups at the price shown on the pricing and checkout pages. Top-up credits are consumed after included monthly credits, are non-transferable, have no cash value, and do not expire while the account remains active unless a different term is disclosed before purchase.
- Consumption. One accepted new analysis consumes one credit. Polling and reading a report do not consume credits. A materially changed page tested as a new run consumes another credit. The same failed run may be retried without another credit when the Service marks it retryable.
- Cancellation. You may cancel a subscription before its next renewal through the billing controls we provide or by contacting us. Cancellation takes effect at the end of the paid billing period unless checkout states otherwise. Top-up credits remain available after cancellation while the account remains active.
- Payment. Morphologic AI Inc. is the seller and merchant of record. Stripe processes payment. A checkout link is not a purchase; you are charged only after completing checkout.
- Taxes. Prices exclude applicable GST/HST, PST, sales, use, or similar taxes unless stated. We add taxes when required.
- Price changes. We may change prices and allowances prospectively. Subscription price changes apply no earlier than a future renewal after reasonable notice where required. A change does not reduce top-up credits already purchased.
- Refunds. Subscription charges and top-up purchases are non-refundable except where required by applicable consumer-protection law or expressly stated at checkout. A provider or run failure is handled through the no-additional-credit retry described above. Contact us if the retry cannot produce the purchased analysis.
Nothing in this section limits non-waivable rights under the British Columbia Business Practices and Consumer Protection Act or other applicable law.
Our intellectual property
The Service—including its software, interface, report structure, methodology, prompts, scenarios, design, documentation, and trademarks—is owned by us or our licensors and protected by law. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms.
You may not copy, modify, reverse-engineer, resell, sublicense, or create derivative services from the Service except as expressly permitted by us or by law. This restriction does not prevent the permitted use of your own completed reports described above.
Suspension and termination
- By you. You may stop using the Service at any time and may request account deletion as described in the Privacy Policy.
- By us. We may suspend or terminate access, with or without notice, if you breach these Terms or the AUP, create security or legal risk, misuse providers or third-party sites, fail to pay, or remain inactive for a prolonged period.
- Effect. On termination, your right to use the Service ends. Unused credits have no cash value and are not refundable except where required by law. Provisions that by their nature should survive—including fees owed, intellectual property, disclaimers, liability limits, indemnity, and governing law—remain effective.

THE SERVICE AND ALL REPORTS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR RESULTS.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR AVAILABLE; THAT A RUN WILL RETURN EVERY PARTICIPANT OR TRACE; THAT A MODEL WILL VISIT A PARTICULAR PAGE; OR THAT FOLLOWING A REPORT WILL CHANGE DISCOVERY, RECOMMENDATION, SALES, OR ANY OTHER OUTCOME.
Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL; THIRD-PARTY PROVIDER ACTS; OR DECISIONS MADE IN RELIANCE ON A REPORT, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) CAD $100.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law.
Indemnification
You will defend, indemnify, and hold harmless Morphologic AI Inc. and its officers, directors, employees, and agents from claims, damages, losses, and expenses, including reasonable legal fees, arising from or related to Your Content, your use of the Service, your violation of these Terms or the AUP, or your violation of law or third-party rights.
Governing law and compliance
These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. You and we submit to the exclusive jurisdiction of the courts located in British Columbia, Canada, except that either party may seek injunctive relief in any court of competent jurisdiction.
You will comply with laws applicable to your use. You represent that you are not subject to Canadian or United States sanctions or trade restrictions and will not use the Service for or on behalf of a prohibited person or location.
Changes and general terms
We may modify these Terms. We will post updated Terms with a new effective or last-updated date and take reasonable steps to notify you of material changes. Changes apply going forward; continued use after they take effect is acceptance.
- Entire agreement. These Terms, the AUP, and Privacy Policy are the entire agreement regarding the Service.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, financing, reorganization, or sale of assets.
- Severability and waiver. If a provision is unenforceable, the rest remains effective. Failure to enforce a provision is not a waiver.
- Force majeure. We are not liable for delay or failure caused by circumstances beyond our reasonable control.
- Notices. We may notify you through the Service or your account email. Notices to us go to the contact below.
Copyright and contact
If you believe material processed or displayed through the Service infringes copyright, send a notice identifying the work, the location of the material, your contact information, a good-faith statement that the use is unauthorized, a statement that the notice is accurate and you are authorized to act for the rights-holder, and your signature. We may remove or disable access and may terminate repeat infringers where appropriate.
